Gulpasaurus is a trading name of Kizuna Brands Limited, a company registered in England and Wales under company number 16531642.

In these Terms, “Gulpasaurus”, “we”, “us” and “our” mean Kizuna Brands Limited trading as Gulpasaurus.

These Terms of Service, together with our Privacy Policy and Returns & Refunds Policy, apply when you browse our website, create an account, place an order, subscribe to a product plan or otherwise use our services.

By using our website or placing an order, you agree to these Terms.

Nothing in these Terms affects any legal rights you may have as a consumer under the laws that apply where you live.

2. About our services

We sell pet hydration products and related accessories through the Gulpasaurus website.

Our services include our website, product pages, checkout, customer accounts, subscription plans, customer support, email communications and any other features we make available from time to time.

Our website is powered by Shopify.

We may update, change, suspend or withdraw any part of our services where reasonably necessary, including to improve security, comply with legal requirements, update products or maintain our systems.

3. Eligibility and accounts

You must be at least 18 years old, or the age of legal majority where you live, to place an order.

You are responsible for ensuring that any information you provide to us is accurate, current and complete.

You are responsible for keeping your account login details secure and for activity carried out through your account.

You must tell us promptly if you believe your account has been accessed without your permission.

You may not sell, transfer, assign or allow another person to use your account.

We may suspend or close an account where we reasonably believe it is being used fraudulently, unlawfully, abusively or in breach of these Terms.

4. Product information and intended use

We make reasonable efforts to ensure product descriptions, specifications, images and pricing are accurate.

However, colours, finishes and product appearance may vary slightly depending on your screen, device settings, photography, manufacturing batches or packaging updates.

Product images are for illustration purposes. Unless expressly stated otherwise, accessories, pets, props and other items shown in photography are not included.

Gulpasaurus products are intended for normal domestic pet use only.

You must:

• Follow all product instructions, safety information and cleaning guidance supplied with the product.

• Inspect the product before use.

• Stop using the product immediately if it appears damaged, faulty or unsafe.

• Keep electrical components, chargers and power connections dry unless the product instructions specifically state otherwise.

• Use the product on a stable, suitable surface.

• Keep packaging and small components away from children and pets where appropriate.

• Clean and maintain the product in accordance with the instructions provided.

Gulpasaurus products are not veterinary devices and are not intended to diagnose, treat, cure or prevent any medical condition in an animal.

You remain responsible for monitoring your pet’s water intake, welfare, behaviour and suitability for use of the product.

5. Orders and contract formation

When you submit an order, you are making an offer to buy the products in your basket.

Your order confirmation confirms that we have received your order. It does not mean that we have accepted it.

We accept your order when we send you an email confirming dispatch, or when we otherwise expressly confirm acceptance in writing.

We may refuse, cancel or limit an order where reasonably necessary, including where:

• A product is unavailable.

• There has been a pricing or product-description error.

• We suspect fraud or unauthorised payment activity.

• The order appears to be for commercial resale, export or unauthorised distribution.

• We cannot deliver to the address or territory provided.

• You have breached these Terms.

If we cancel an order after taking payment, we will refund the amount paid for the cancelled item or order.

Please check your order carefully before submitting it. We may not be able to amend or cancel an order once it has been accepted or dispatched.

6. Pre-orders

Some Gulpasaurus products may be offered on a pre-order basis.

Where you place a pre-order, the product page or checkout will explain the estimated dispatch timing where available.

Estimated dispatch and delivery dates are estimates, not guarantees. We will make reasonable efforts to keep you updated if there is a material delay.

You may cancel a pre-order before it has been dispatched, subject to our Returns & Refunds Policy and any mandatory rights that apply to you.

If a material change affects your pre-order, including a significant delay or major change to the product, we will contact you and explain your available options.

7. Prices, payment, taxes and promotions

Prices are shown in the currency displayed on the website or at checkout.

The price you pay is the price shown at checkout when you place your order, except where there is an obvious pricing error.

Any applicable delivery charges, discounts, taxes or fees will be shown before you complete checkout.

For international orders, import duties, customs charges, local taxes or other charges may apply.

Where these charges are not collected at checkout, you are responsible for paying them to the relevant authority or carrier. We are not responsible for delays, refusals or additional costs caused by unpaid import charges.

You must provide current, complete and accurate payment, billing and contact information.

By placing an order, you confirm that you are authorised to use the payment method provided.

Your card provider, bank or payment provider may charge separate currency-conversion, processing or international-payment fees. These are outside our control.

Promotions, discount codes and special offers are subject to any terms stated with them. Unless we state otherwise:

• Promotions cannot be combined.

• Discount codes cannot be exchanged for cash.

• Discount codes must be used before their stated expiry date.

• We may withdraw or amend a promotion where reasonably necessary.

• We may cancel orders where a promotion has been used fraudulently or in breach of its terms.

8. Subscriptions

Subscription plans may be offered for selected products.

When you start a subscription, you authorise us to charge your chosen payment method at the frequency, price and date shown at checkout or in your subscription confirmation.

Your subscription will continue until you cancel it, unless it is paused, skipped, expires or is cancelled in accordance with these Terms.

You can manage, pause, skip, update or cancel your subscription through the subscription-management link provided in your account or subscription emails, subject to any notice period stated at checkout.

You are responsible for making changes before the relevant billing date.

Where we need to change the price, frequency or other material terms of a future subscription order, we will provide notice where required by applicable law. You may cancel before the revised charge takes effect.

If a payment fails, we may retry the payment and contact you to update your payment details.

Where payment remains unsuccessful, we may skip, pause or cancel the subscription, depending on the subscription terms and the notices provided to you.

9. Delivery

We deliver to the destinations shown as available at checkout.

Delivery dates and transit times are estimates unless we have expressly agreed a guaranteed date in writing.

We are not responsible for delays caused by events outside our reasonable control, including customs delays, carrier disruption, severe weather, industrial action, border controls, natural disasters or failures in transport infrastructure.

However, this does not affect your legal rights if we fail to deliver within an agreed period or within the time required by applicable law.

You must provide a complete and accurate delivery address.

If an order is returned to us because an address was incomplete or incorrect, or because you failed to collect it from a carrier or collection point, we may charge reasonable re-delivery costs or deduct reasonable outbound delivery costs from any refund, where permitted by law.

For consumer orders, products remain our responsibility until they are delivered into your physical possession, or the physical possession of someone you nominate to receive them.

10. Returns, refunds and faulty products

Our Returns & Refunds Policy forms part of these Terms.

It explains:

• Our voluntary 30-day return policy.

• Return eligibility for products that have been used with water or by pets.

• Pre-order cancellation.

• Faulty, damaged, unsafe or incorrect products.

• Return shipping costs.

• Refund timing.

• UK and EU cancellation rights.

Nothing in these Terms or our Returns & Refunds Policy limits your legal rights if a product is faulty, unsafe, not as described or otherwise fails to meet applicable consumer-law standards.

11. Product safety and recalls

If we reasonably believe a product may present a safety issue, we may contact affected customers with important information, including instructions to stop using the product, return it, repair it or replace it.

You agree to provide a valid email address and contact information so that we can contact you about safety notices, recalls, product updates or other important service communications.

12. No commercial resale

Products bought through the Gulpasaurus website are for personal or household use only.

You must not buy products for resale, commercial rental, export, distribution or other commercial purposes without our written permission.

We may cancel or refuse orders that we reasonably believe are intended for unauthorised resale or commercial use.

13. Intellectual property

All content on our website, including our name, logos, trade marks, product names, product designs, copy, photography, videos, graphics, website design and other materials, belongs to Gulpasaurus or our licensors.

You may use our website for your personal, non-commercial use only.

You must not copy, reproduce, modify, distribute, publish, sell, licence, scrape, download, republish or exploit our content without our written permission.

Nothing in these Terms gives you ownership of, or rights to use, our intellectual property except where we expressly agree in writing.

14. Reviews, feedback and user content

Where you submit a review, image, video, comment, idea, suggestion or other content to us, you confirm that:

• You own it or have permission to submit it.

• It is accurate and not misleading.

• It does not infringe another person’s rights.

• It is not unlawful, abusive, defamatory, threatening, discriminatory, obscene or misleading.

You grant us a non-exclusive, worldwide, royalty-free, transferable and sublicensable licence to use, reproduce, adapt, publish, distribute and display that content for operating, improving and promoting Gulpasaurus.

This includes use on our website, social channels, advertising, email, retail materials and other marketing channels.

We may remove user content where we reasonably believe it breaches these Terms or is otherwise inappropriate.

15. Third-party services and links

Our website may contain links to third-party websites, services, payment providers, social platforms or tools.

We do not control those third parties and are not responsible for their content, availability, privacy practices, products or services.

Your use of third-party services is subject to their own terms and policies.

16. Relationship with Shopify

Gulpasaurus is powered by Shopify, which enables us to provide our services to you.

However, any sale or purchase made through our website is made directly between you and Kizuna Brands Limited trading as Gulpasaurus.

Shopify is not responsible for any aspect of the sale, fulfilment, delivery, return, refund, warranty or use of Gulpasaurus products.

To the extent permitted by law, you release Shopify and its affiliates from claims arising directly from your purchase or use of products sold by Gulpasaurus.

17. Privacy

Our collection and use of personal information is explained in our Privacy Policy.

Because our website is powered by Shopify, information you provide through the website may also be processed by Shopify and other service providers that help us operate our business, process payments, ship orders, provide customer support and improve our services.

18. Prohibited use

You must not use our website or services:

• For unlawful, fraudulent or harmful purposes.

• To interfere with or disrupt our website, systems or security.

• To submit false, misleading or unauthorised information.

• To impersonate another person or business.

• To send spam, malware, viruses or harmful code.

• To scrape, crawl, harvest or extract data from our website without permission.

• To use automated tools, bots or agents to access our services in a way that bypasses security, rate limits, access controls or other technical measures.

• To infringe our intellectual-property rights or the rights of another person.

• To harass, abuse, threaten or harm our team, customers or partners.

We may suspend or restrict access to our website or services where we reasonably believe you have breached these Terms.

19. Availability and website errors

We aim to keep our website available and accurate, but we do not guarantee that it will always be uninterrupted, secure, error-free or available.

We may correct errors, inaccuracies or omissions relating to prices, descriptions, stock availability, promotions, shipping charges or product information at any time.

Where an error materially affects an order you have placed, we will contact you where reasonably possible and give you the option to continue with the corrected information or cancel the affected order.

20. Our responsibility to you

Nothing in these Terms excludes or limits liability where it would be unlawful to do so.

This includes liability for:

• Death or personal injury caused by our negligence.

• Fraud or fraudulent misrepresentation.

• Defective products where liability cannot legally be excluded.

• Your mandatory consumer rights.

• Any other liability that cannot legally be limited or excluded.

If you are a consumer, we are responsible for foreseeable loss or damage caused by us breaching these Terms or failing to use reasonable care and skill.

We are not responsible for losses that are not foreseeable, losses caused by events outside our reasonable control, or losses caused by your failure to follow product instructions, safety guidance, cleaning guidance or reasonable use requirements.

We do not accept responsibility for business losses where you use our products or services for commercial, business or resale purposes.

If you are purchasing as a business, our total liability to you for any claim arising from these Terms, the website or products will not exceed the greater of:

• The amount you paid to us for the relevant order; or

• £100.

21. Force majeure

We are not responsible for delay or failure to perform our obligations where caused by events outside our reasonable control.

These may include carrier disruption, supply-chain interruption, customs delays, war, terrorism, government action, sanctions, strikes, severe weather, fire, flood, epidemic, pandemic, cyberattack or failure of telecommunications or payment systems.

This does not affect your statutory rights.

22. Changes to these Terms

We may update these Terms from time to time.

The latest version will always be available on our website.

Where changes materially affect your rights or an existing subscription, we will provide notice where required by applicable law.

Your continued use of our website after the updated Terms take effect means you accept the updated Terms.

23. Governing law and disputes

These Terms are governed by the laws of England and Wales.

If you are a consumer, you may also benefit from mandatory protections under the laws of the country where you live. Nothing in these Terms removes those protections.

If you live in the United Kingdom, the courts of England and Wales will have jurisdiction, except that consumers living in Scotland or Northern Ireland may bring proceedings in their local courts where applicable.

If you live outside the United Kingdom, you may bring a claim in the courts required by mandatory local consumer law.

Before starting formal legal proceedings, please contact us at gulp@gulpasaurus.com and give us a reasonable opportunity to resolve the issue.

24. Other important terms

If any part of these Terms is found to be invalid or unenforceable, the remaining parts will continue in effect.

If we do not enforce a right immediately, that does not mean we have waived it.

You may not transfer your rights or obligations under these Terms without our written consent.

We may transfer our rights or obligations under these Terms as part of a business sale, restructuring, merger or transfer of assets, provided that this does not materially reduce your rights.

No person other than you and us has a right to enforce these Terms, except where applicable law says otherwise.
